Yes it is, I upgraded from fx8350 to 4790k and I don't regret it at all. Everything just works better and faster.

Yes, there is a heatsink and a fan in the box. Its cooling performance is nothing stellar but it does the job as long as the rig is not being overclocked. It is also pretty silent.
