Does this case contain magnets?

Magnet in cover to keep closed. But the device snaps in like a cellphone cover. Which was great, cause some hold device in with a magnet, but if you drop it I think it would bounce out.

yes exactly. It feels kind of rubberized actually. Looks nice and very durable. I've had mine for about 6 months and it has held up very well.

Does the upgrade version flip over completely?

Depends on what you mean flip over completely if you mean, does the cover flip all the way to the back then yes if you mean something else I don’t know.
